This document ("Terms and Conditions" or "Terms") constitutes a legally binding agreement between the student or parent/guardian ("You", "Your" or "Student") and LearnAxy Midasnit Private Limited, a subsidiary of Gigipo Esprit Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at No. 9/11, Duraisamy Street, Virugambakkam, Chennai - 600092, Tamil Nadu, India, operating under the brand name "Gigipo.com" (hereinafter referred to as "Gigipo.com", "We", "Us", or "Our", which expression shall, unless repugnant to the context or meaning thereof, be deemed to include its successors and permitted assigns).
By accessing, registering on, or using Gigipo.com's online platform (including its website, mobile applications, and related services collectively referred to as the "Platform"), You agree to be bound by these Terms, our Privacy Policy, Refund Policy, and any other policies incorporated herein by reference.
If You do not agree to these Terms, You must not access or use the Platform.
1. Role and Legal Status of Gigipo.com
- 1.1 Gigipo.com operates solely as a facilitator, intermediary, and e-commerce operator, providing an online marketplace that connects independent tutors ("Tutors") with students seeking online classes, live sessions, or skill-based learning experiences ("Classes").
- 1.2 Gigipo.com does not provide tutoring or educational services directly. The educational engagement and service contract are strictly between the Tutor and the Student.
- 1.3 Gigipo.com's functions are limited to:
- providing technology infrastructure and listing services for Tutors;
- enabling class discovery, scheduling, and booking by Students;
- collecting payments from Students on behalf of Tutors through authorized payment gateways; and
- remitting such amounts (after applicable deductions) to Tutors in accordance with applicable tax and payment laws.
- 1.4 Tutors are independent contractors and not employees, partners, agents, or representatives of Gigipo.com. Gigipo.com is not responsible for Tutor actions, representations, or performance.
- 1.5 Tutors expressly authorize Gigipo.com to issue tax invoices and payment receipts to Students on their behalf, containing the Tutor's name, class details, and applicable taxes, in accordance with Indian tax laws.
2. Eligibility and Registration
- 2.1 To use the Platform, You must register an account ("Gigipo.com Account") by providing accurate and complete information.
- 2.2 If You are below 18 years of age, registration and access must be completed by a parent or legal guardian, who shall be deemed to be the contracting party and accept full responsibility for all actions of the minor.
- 2.3 You are solely responsible for maintaining the confidentiality of Your login credentials and for all activities that occur under Your account. Any unauthorized use must be immediately reported to support@gigipo.com.
- 2.4 Gigipo.com reserves the right to verify Your identity, suspend, or terminate Your access if false or misleading information is found.
3. Class Bookings and Payment Terms
- 3.1 Students may browse and book classes offered by Tutors listed on the Platform. The fee payable for each class ("Class Fee") shall be clearly displayed prior to booking.
- 3.2 Upon confirmation of booking, the Class Fee shall be collected by Gigipo.com in its capacity as an intermediary, through secure third-party payment gateways such as Razorpay or any other authorized service.
- 3.3 All payments received from Students are collected on behalf of the Tutor and held in a designated account until the class is completed, after which Gigipo.com will remit the applicable amount to the Tutor, after deducting platform commission, applicable taxes, and charges as per Gigipo.com's internal policy.
- 3.4 Gigipo.com will issue a system-generated invoice to the Student on behalf of the Tutor, containing the Tutor's name, class details, and applicable taxes, in accordance with Indian tax laws.
- 3.5 Payments once made are subject to the respective Tutor's cancellation or refund policy. Gigipo.com does not provide direct refunds unless expressly stated under Clause 5 below.
4. Subscription Plans, Auto-Renewal, Slot Allocation, Cancellation, and Rescheduling
- 4.1 Subscription Plans and Slot Allocation
- 4.1.1 The Platform enables Students to subscribe to recurring classes with a Tutor by selecting the desired number of classes per week and choosing specific time slots from the Tutor's available schedule.
- 4.1.2 Each subscription operates on a fixed 4-week cycle ("Subscription Cycle"). Upon payment, the Platform reserves the selected time slots exclusively for the Student on the Tutor's calendar for the entire Subscription Cycle.
- 4.1.3 During an active Subscription Cycle, the reserved slots are blocked on the Tutor's schedule and cannot be booked by other students.
- 4.1.4 The total subscription fee is calculated based on the number of classes per week, the Tutor's per-class fee, and the 4-week duration. The full amount is collected upfront by Gigipo.com on behalf of the Tutor at the time of subscription.
- 4.2 Auto-Renewal
- 4.2.1 By subscribing to a plan, the Student agrees to auto-renewal by default. At the end of the current Subscription Cycle, the Platform will automatically initiate a new 4-week cycle with the same slots, class frequency, and Tutor, and the corresponding fee will be charged to the Student's payment method on file.
- 4.2.2 The Student will be notified via email or in-app notification before each auto-renewal charge is processed.
- 4.2.3 The Student may disable auto-renewal at any time from their dashboard. If auto-renewal is disabled, the subscription will end at the conclusion of the current Subscription Cycle, and the reserved slots on the Tutor's calendar will be released.
- 4.3 Subscription Cancellation
- 4.3.1 The Platform allows the Student to cancel an active subscription at any time before the last scheduled class of the current Subscription Cycle begins.
- 4.3.2 Upon cancellation:
- All remaining classes within the current Subscription Cycle will continue as scheduled between the Student and the Tutor.
- The subscription will not auto-renew for the next cycle.
- The reserved slots on the Tutor's calendar will be released only after the current Subscription Cycle ends.
- No refund will be issued for the current Subscription Cycle, as all classes within the cycle will be delivered as agreed between the Student and the Tutor.
- 4.3.3 Cancellation takes effect from the next Subscription Cycle. The Student retains access to all scheduled classes and reserved slots for the remainder of the current cycle.
- 4.4 Class Rescheduling Within a Subscription
- 4.4.1 The Platform allows the Student to reschedule individual classes within an active Subscription Cycle, subject to the following:
- The rescheduled class must fall within the Subscription Cycle date range.
- Rescheduling is subject to the Tutor's availability. The Student may select any available slot from the Tutor's schedule within the permitted date range.
- Rescheduling must comply with the Tutor's individual reschedule policy, including any minimum notice period as defined by the Tutor. This policy will be visible on the Tutor's profile and at the time of rescheduling.
- 4.4.2 Rescheduling does not alter the total number of classes in the Subscription Cycle. It only changes the date or time of an individual class as mutually available between the Student and the Tutor.
- 4.5 Tutor-Initiated Class Cancellation
- 4.5.1 The Platform allows the Tutor to cancel an individual class within an active Subscription Cycle.
- 4.5.2 If a Tutor cancels a scheduled class, one additional make-up class will be automatically added on the next available corresponding day after the Subscription Cycle ends, retaining the same time slot unless mutually agreed otherwise between the Tutor and the Student.
- 4.5.3 Tutor-initiated cancellations do not reduce the total number of classes in the Subscription Cycle. The Student is entitled to receive all classes as originally subscribed.
- 4.5.4 If a make-up class extends beyond the original Subscription Cycle date range, the next auto-renewal cycle, if active, will begin after the make-up class is completed.
- 4.6 Subscription Consent
- 4.6.1 By completing a subscription payment, the Student acknowledges and agrees to:
- the auto-renewal of the subscription by default;
- the slot allocation and blocking on the Tutor's calendar for the full Subscription Cycle;
- the cancellation terms as described in Clause 4.3;
- the rescheduling terms as described in Clause 4.4;
- the Tutor-initiated cancellation and make-up class terms as described in Clause 4.5; and
- the Tutor's individual reschedule notice requirements.
- 4.6.2 The Student must check the mandatory consent checkbox - "I understand this subscription is auto-renewed and I authorize recurring payments as per my selected plan" - before completing the payment.
5. Rescheduling, Cancellations, and Refunds (Non-Subscription Bookings)
- 5.1 For individual (non-subscription) class bookings, Tutors may define their own reschedule and cancellation policies, which shall be made visible to Students prior to booking.
- 5.2 Refund requests may be raised only in accordance with the applicable Tutor policy. Gigipo.com shall act as a facilitator in processing such refunds based on Tutor approval.
- 5.3 Refunds will be processed through the same payment method used for booking. The Student will be notified via email of the refund status and amount.
- 5.4 In case of no-shows, technical issues, or substandard classes, Gigipo.com may mediate between the Student and Tutor but shall not be liable for the refund unless the Tutor fails to comply with Platform standards.
- 5.5 Refunds, if approved, will be adjusted against the Tutor's future payout and credited to the Student's original payment method within 7-10 working days.
6. Student Conduct and Obligations
- 6.1 Students agree to use the Platform and Classes solely for lawful and educational purposes.
- 6.2 You shall not:
- share personal contact details, including phone numbers, emails, or external platform links (Zoom, WhatsApp, Skype, etc.), with Tutors before or after booking;
- attempt to make payments or engage Tutors outside the Gigipo.com Platform;
- record, reproduce, or share class sessions without prior written consent from Gigipo.com or the Tutor; or
- engage in any conduct that is defamatory, abusive, discriminatory, or disruptive during classes.
- 6.3 Any breach of the above obligations may result in immediate suspension or permanent termination of Your Gigipo.com Account.
7. Class Recordings and Data Usage
- 7.1 All live sessions conducted through Gigipo.com are recorded for safety, quality assurance, and dispute resolution purposes.
- 7.2 By participating in a class, You consent to such recordings being stored and reviewed by Gigipo.com and, where necessary, shared with the concerned Tutor or parent for resolution.
- 7.3 The recordings remain the exclusive property of Gigipo.com and may be used for training, monitoring, or promotional purposes in accordance with the Privacy Policy.
- 7.4 Gigipo.com may display the Tutor's name, photo, and introduction video on its platform for marketing purposes, and Students consent to view and interact with such publicly available content.
8. No Guarantee of Educational Outcomes or Tutor Quality
Gigipo.com makes no warranties or representations concerning the effectiveness, learning outcomes, quality, or accuracy of any Tutor or class. Student success relies on numerous factors, such as the Tutor and Student effort; Gigipo.com cannot provide any guarantees for specific outcomes.
9. Disclaimer of Warranties
- 9.1 Gigipo.com provides its services on an "as is" and "as available" basis without warranties of any kind, express or implied.
- 9.2 Gigipo.com does not warrant that:
- the services will be uninterrupted or error-free;
- Tutors will be available at all times or classes will meet Student expectations; or
- any learning outcome, skill improvement, or certification will be achieved.
- 9.3 Gigipo.com disclaims all responsibility for:
- Tutor performance, teaching style, or behavior;
- accuracy or completeness of any educational material;
- third-party service interruptions (internet, device malfunction, etc.); or
- losses resulting from Student's reliance on any class material or advice.
10. No Employment or Agency Relationship
Gigipo.com is not hiring tutors, nor are students Gigipo.com's clients. Nothing in these Terms establishes an employment, partnership, or agency relationship between Gigipo.com and any Tutor or Student.
11. Limitation of Liability
- 11.1 To the maximum extent permitted under law, Gigipo.com, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:
- Student's use of the Platform or participation in a class;
- Tutor's act or omission;
- delay or failure in refund processing; or
- unauthorized access to Student data.
- 11.2 Gigipo.com's aggregate liability, in any event, shall not exceed the total Class Fee paid by the Student for the disputed transaction.
12. Intellectual Property Rights
- 12.1 All intellectual property, trademarks, and content displayed on the Platform are the sole property of Gigipo.com or its licensors.
- 12.2 Students are granted a limited, non-transferable, non-exclusive right to access class materials for personal, educational use only.
- 12.3 Reproduction, distribution, or modification of any Platform or Tutor content without written authorization is strictly prohibited.
13. Privacy and Data Protection
- 13.1 Gigipo.com collects, stores, and processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.
- 13.2 By registering and using the Platform, You consent to the collection and use of Your data for legitimate business, payment processing, and communication purposes.
- 13.3 Gigipo.com may disclose such data to Tutors, payment partners, or regulatory authorities as required under applicable law.
14. Termination and Suspension
- 14.1 Gigipo.com reserves the right to suspend or terminate Your account with immediate effect if:
- You breach any provision of these Terms;
- engage in fraudulent or unauthorized transactions; or
- misuse the Platform for illegal or commercial purposes.
- 14.2 Upon termination, all pending bookings will stand cancelled, and Gigipo.com shall refund eligible payments, if any, after necessary deductions.
- 14.3 You may request account deletion at any time by writing to support@gigipo.com, subject to settlement of all outstanding obligations.
15. Governing Law and Jurisdiction
- 15.1 These Terms shall be governed by and construed in accordance with the laws of India.
- 15.2 Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts at Chennai, Tamil Nadu.

16. Miscellaneous
- 16.1 Gigipo.com reserves the right to amend, modify, or replace these Terms at any time without prior notice. Continued use of the Platform after such modifications shall constitute acceptance.
- 16.2 The failure of Gigipo.com to enforce any right under these Terms shall not constitute a waiver.
- 16.3 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- 16.4 These Terms constitute the entire agreement between You and Gigipo.com and supersede any prior communications, proposals, or representations, whether oral or written.
By registering on Gigipo.com, You acknowledge that You have read, understood, and agreed to the Student and Tutor Terms & Conditions in full.
